Terms and Conditions

Welcome to Race Car Swap, a division of Race Car Swap, LLC, a Montana limited liability company (“we,” “us,” “our,” or “Race Car Swap”). These Terms and Conditions (“Terms”) govern your use of the Race Car Swap website (the “Site”) and marketplace platform (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

1. Overview of Services

Race Car Swap provides an online marketplace that enables users to list, buy, and sell race car parts, equipment, and other permitted items. The underlying purchase and sale of an item is between the buyer and the seller. Race Car Swap does not take title to, own, possess, manufacture, inspect, or sell items listed by users.

Race Car Swap does, however, facilitate certain aspects of transactions conducted through the Platform, including payment processing, transaction fees, seller payouts, cancellation requests, Buyer Protection claims, refunds where applicable, and other transaction-related support as described in these Terms and our related policies.

2. Account Registration

To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account and password and accept responsibility for all activities that occur under your account.

There is no minimum age requirement at this time; however, by using the platform, you represent that you have the capacity to enter into a binding agreement.

3. Seller Fees and Payments

Sellers are charged a platform fee on each completed transaction. We charge the lower of (a) 14.9% + $0.30 of the fee base (with a $4.30 minimum) or (b) $149 + 6% of the fee base.

The fee base is the item price plus buyer-paid shipping and excludes sales tax. The platform fee is deducted from the seller’s proceeds and helps cover payment processing and marketplace operations.

Eligible buyers may see Affirm (Buy Now, Pay Later) at checkout for orders over $250 (availability depends on buyer eligibility and Stripe).

All payments are processed securely through Stripe Connect. Race Car Swap generally delays the seller payout until the buyer confirms receipt by clicking Mark as Received. For tracked shipments, the seller payout may be released within 72 hours after the carrier shows Delivered if the buyer takes no action. For Local Pickup orders (no carrier/tracking), the seller payout is released when the buyer clicks Mark as Received.

4. Shipping, Local Pickup, and Fulfillment

Sellers are responsible for fulfillment and delivery in one of two ways:

5. Buyer Protection, Returns, and Refunds

Eligible purchases may qualify for Buyer Protection when an item is not received, the wrong item is shipped, the item is significantly not as described, or the item arrives with qualifying undisclosed damage, as further described in our Buyer Protection Policy.

To request review of a covered issue, the buyer must contact Race Car Swap within 72 hours of delivery or local pickup and provide the order number along with reasonably requested information or evidence, which may include photographs, video, packaging, shipping labels, tracking information, listing information, and communications conducted through the Platform.

Race Car Swap may review the information provided by the buyer and seller and determine whether the claim is eligible under the Buyer Protection Policy. Depending on the circumstances, a resolution may include a partial refund when the parties agree, a return for a full refund, denial of the claim, or another reasonable resolution consistent with the Buyer Protection Policy. For shipped items, Race Car Swap may provide or arrange a return shipping label when a return is approved. Returns involving Local Pickup may require separate coordination.

Buyer Protection does not guarantee a particular outcome. Race Car Swap may request additional information before making a determination and may deny claims that do not satisfy the eligibility, evidence, or timing requirements of the Buyer Protection Policy.

NOTE: Unless otherwise required by law or expressly approved by Race Car Swap under the Buyer Protection Policy, an order becomes nonrefundable after 72 hours from delivery or local pickup, or when the buyer selects Mark as Received, whichever comes first. Items that have been installed, used, modified, disassembled, or altered after delivery or pickup are generally not eligible for Buyer Protection.

6. Platform Role and Disclaimer

Race Car Swap does not own, possess, manufacture, inspect, or sell items listed on the Platform and is not the buyer or seller in the underlying transaction. The purchase and sale of an item is between the buyer and the seller. Race Car Swap may facilitate and administer certain transaction-related services, including payment processing, transaction fees, seller payouts, cancellations, Buyer Protection reviews, refunds where applicable, and related support.

We do not guarantee the quality, safety, authenticity, legality, condition, fitment, or delivery of items listed by users. We do not conduct background or identity verification of users at this time. You use the Platform and transact with other users at your own risk, subject to the protections and processes expressly described in these Terms and our related policies.

7. Payment Disputes and Chargebacks

Race Car Swap may review transaction-related complaints and Buyer Protection claims submitted through the Platform. We may request information or documentation from the buyer or seller and may take actions permitted under these Terms and our Buyer Protection Policy, including delaying a seller payout, cancelling an eligible transaction, issuing or facilitating a refund, or taking other reasonable steps to resolve the matter.

Buyer Protection claims handled by Race Car Swap are separate from payment disputes or chargebacks initiated by a cardholder through their bank or card issuer. Payment disputes and chargebacks may also be subject to Stripe's procedures, the issuing bank's procedures, and applicable card-network rules. If a chargeback or payment dispute is filed, Race Car Swap may pause or close its internal Buyer Protection review while the external dispute is pending and may provide relevant transaction information or documentation as part of that process.

8. Prohibited Conduct

Race Car Swap reserves the right to suspend or terminate any user account at its sole discretion.

9. Intellectual Property

All content, branding, and software used in the Services are the property of Race Car Swap, LLC or its licensors. You may not reproduce, distribute, or modify any part of the Services without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Race Car Swap and Race Car Swap, LLC disclaim all liability for any direct, indirect, incidental, or consequential damages arising from:

11. Indemnification

You agree to indemnify and hold harmless Race Car Swap, Race Car Swap, LLC, and their affiliates from any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or notice, including for any violation of these Terms.

13. Binding Arbitration and Governing Law

These Terms are governed by the laws of the State of Montana, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in Montana under the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.

14. Modifications to Terms

We may update these Terms from time to time. Changes will be posted to this page with the “Effective Date” updated accordingly. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
